1. Agreement to Terms
By accessing or using the nivora website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
nivora Ltd. ("nivora," "we," "us," or "our") reserves the right to modify these Terms at any time. Material changes will be communicated via email and platform notification at least 30 days before becoming effective. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
2. Description of Services
nivora provides premium wealth management services including digital asset custody, trading execution, portfolio management, tax advisory, and estate planning services. Our Services are exclusively available to accredited investors and qualified institutional buyers as defined under applicable securities laws.
Services are provided through our regulated entities:
- nivora Ltd. (UK) — FCA Registered No. 824632
- nivora Pte. Ltd. (Singapore) — MAS CMS License No. CMS100842
- nivora DMCC (Dubai) — DFSA Category 3 License No. F004567
3. Account Terms
3.1 Eligibility
To open an account, you must be at least 18 years of age, an accredited investor, and not a resident of a restricted jurisdiction. nivora reserves the right to reject any application at its sole discretion.
3.2 Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, including your password and multi-factor authentication devices. You must notify us immediately of any unauthorized access or security breach.
3.3 Minimum Balances
Each service tier has a minimum account balance requirement: Private Client ($100,000), Family Office ($1,000,000), and Institutional ($5,000,000). Accounts falling below these thresholds may be subject to review and potential downgrade.

4. Risk Disclosure
Investing in digital assets involves substantial risk. You should carefully consider whether such investments are suitable for your financial situation and risk tolerance. Key risks include:
- Market Risk: Digital asset prices are highly volatile and can fluctuate significantly.
- Liquidity Risk: Some digital assets may experience periods of reduced liquidity.
- Regulatory Risk: Changes in laws or regulations may affect the value or legality of digital assets.
- Technology Risk: Blockchain networks and smart contracts may contain vulnerabilities.
- Custody Risk: Despite our security measures, no system is completely immune to compromise.
5. Fees & Payments
Our fee structure is transparent and disclosed in your service agreement. Fees include:
- Monthly service fees based on your chosen tier
- Trading fees as a percentage of transaction value
- Custody fees calculated on assets under management
- Yield optimization fees based on generated returns
All fees are deducted from your account on a monthly basis. We do not charge inactivity fees, account closure fees, or hidden administrative charges.
6. Privacy Policy
nivora is committed to protecting your privacy. We collect, process, and store personal information in accordance with applicable data protection laws including GDPR, UK DPA 2018, and PDPA.
6.1 Information We Collect
We collect information you provide during account opening (name, address, identification documents), transaction data, and technical information about your use of our platform.
6.2 How We Use Your Information
Your information is used to provide Services, comply with legal obligations, prevent fraud, and improve our platform. We do not sell your personal information to third parties.
6.3 Data Retention
We retain your personal information for as long as your account is active and for a period of seven years thereafter to comply with regulatory requirements.
6.4 Your Rights
You have the right to access, correct, delete, and port your personal data. Requests can be submitted to privacy@nivora.io and will be processed within 30 days.
7. Security
nivora employs industry-leading security measures including:
- Geographically distributed cold storage with multi-party consensus
- $500M insurance policy covering custodial assets
- Quarterly third-party security audits
- Monthly proof-of-reserves publication
- SOC 2 Type II certification
- 24/7 security operations center monitoring
8. Limitation of Liability
To the maximum extent permitted by law, nivora and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
9. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, your digital assets will be returned to a wallet designated by you within 14 business days, subject to security verification and regulatory compliance.
nivora reserves the right to terminate or suspend accounts immediately for violations of these Terms, suspicious activity, or as required by law.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be resolved through binding arbitration in London, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA).
For clients in Singapore, disputes may alternatively be resolved through the Singapore International Arbitration Centre (SIAC). For clients in Dubai, disputes may be resolved through the Dubai International Financial Centre (DIFC) Courts.
